Terms and Conditions

Artifice Systems. These terms govern the website, Console, products, APIs, token, and related services.

These Terms and Conditions (the "Terms") govern your access to and use of Artifice websites, Console, documentation, products, terminals, APIs, MCP servers, agents, research tools, tokens, billing, and related services. By accessing or using any part of Artifice, you agree to these Terms.

These Terms cover the full Artifice ecosystem, including current, legacy, staged, beta, preview, and future surfaces. Product names may change, merge, or be replaced. A renamed or successor product remains covered.


1. Introduction

Artifice Systems provides non-custodial research, agent, risk, execution, analytics, charting, token, billing, and developer tools for digital asset markets. The Services may include:

  • The Artifice website at artifice.systems, documentation, Console, branding, and support channels
  • Artifice Console, including overview, chat, venues, agents, portfolio, research, keys, billing, and settings
  • Account sign-in by wallet, username and password, or OAuth (including Google, Facebook, X, Discord, and Telegram)
  • Trading and research terminals powered by Artifice, including Oroboros (perpetual markets), Saylis (onchain markets), Chartographer (desktop charting), Tesseract (prediction-market research), Crucible (backtesting and comparison), and Artifice Private (dedicated deployments)
  • Legacy and related Jester surfaces, including the Jester web Terminal, Telegram bot, Mini App, Jester Lab, account-linking tools, and related onboarding or execution workflows
  • Staged or independent products that share infrastructure or incubation, including Clod (open-source AI quant and multi-purpose agent, in development) and Scherwode (independent onchain market protocol)
  • Research and autonomy tools such as the Agent Mesh, backtesting, optimization, strategy comparison, signals, alerts, portfolio analytics, exports, and supervised or autonomous execution
  • API and MCP access, including HTTP APIs, MCP hosts, API keys, delegated keys, x402 settlement, webhooks, and agent integrations
  • Token and fee features, including $JEST, any future Artifice token, published migrations, buybacks when active, and related dashboards
  • Billing for plans, compute, and usage, including Stripe checkout
  • Experimental, alpha, beta, preview, private, staged, or internal tools

The Services may change quickly. Features described in docs, marketing pages, screenshots, roadmap items, or community posts may be incomplete, unavailable, staged, restricted, experimental, or discontinued.

1.1 Definitions

  • Company means Artifice Systems and any affiliated entity or operator responsible for providing or managing the Services, including operators of Jester, Jester Laboratories, and related product brands.
  • Artifice, we, us, and our refer to the Company and the Artifice ecosystem.
  • Jester and JESTER mean legacy and related product brands, terminals, bots, Mini Apps, and documentation that sit on or alongside Artifice.
  • Services means all products, tools, websites, consoles, terminals, bots, apps, APIs, MCP servers, documentation, content, token features, billing, and related services provided by or for Artifice.
  • Tools means trading, research, analytics, charting, automation, agent, signal, indicator, portfolio, documentation, billing, and account-management features within the Services.
  • Algorithm means any proprietary strategy, signal, indicator, execution, automation, optimization, routing, risk, scoring, ranking, or research logic used by the Services.
  • Agent Mesh means the coordinated set of specialized agents that share context, challenge one another, and publish evidence into a common research process.
  • Token or $JEST means the current Jester utility token and related tokenomics features.
  • Artifice token means a planned successor token that has not launched. The Company intends a full migration for $JEST holders when that token launches. Details will be published before any snapshot or swap.
  • ART Boost means an optional additional reduction on Artifice builder and routing fees, if and when a published lock or similar mechanic is offered for a token.
  • Plan means an Artifice subscription or access tier, including Free, Pro, Premium, Developer, Enterprise, and Artifice Private, and any successor names.
  • Connected Account means any wallet, exchange account, Hyperliquid account, Saylis or Privy vault, TradingView account, Telegram account, browser account, API provider identity, OAuth identity, or third-party account you connect to or use with the Services.
  • Documentation means product docs, website docs, guides, API references, examples, technical notes, roadmap descriptions, and support materials.

2. Ownership and Licensing

All Services, Tools, Algorithms, content, user interfaces, designs, code, scripts, indicators, charts, strategy logic, documentation, trademarks, logos, names, and related intellectual property are owned by the Company, its licensors, or their respective owners.

Some Algorithms, indicators, data, charting tools, or strategy components may be owned by third-party licensors and licensed to the Company. Those owners retain all rights, title, and interest in their intellectual property.

Your use of the Services gives you only a limited, revocable, non-exclusive, non-transferable license to access the Services for your own lawful use, subject to your Plan. You do not receive any ownership interest in:

  • The Company or its assets
  • The Services, Tools, Algorithms, or platform code
  • Any strategy, signal, indicator, model, charting engine, API, MCP server, or automation logic
  • The treasury, fee streams, buybacks, reward pools, liquidity, or operating funds
  • The Token beyond the tokens you lawfully hold in your own wallet

Unless we give written permission, you may not copy, resell, sublicense, commercialize, scrape, mirror, reproduce, modify, reverse engineer, extract, decompile, distribute, or create derivative products from the Services or any Artifice intellectual property.

2.1 License scope by Plan

Individual Plans (Free, Pro, and Premium) are licensed for personal and professional use by you. They do not grant a commercial license to build products, wrap Artifice, resell access, or provide Artifice-powered services to third parties.

Commercial use — including customer-facing products, apps, agents, internal tools offered to others, white-label, or embedded deployments — requires a Business Plan (Developer, Enterprise, or Artifice Private) or a separate written license.

Artifice Private and other dedicated deployments may be governed by a separate order, MSA, or statement of work. If those terms conflict with these Terms, the written commercial agreement controls for that deployment.


3. Plans and Billing

Plans buy Artifice access, licensing, included credits, limits, collaboration, and published fee terms. They do not change the underlying product. Published Plan features, prices, included credits, credit rates, fee reductions, and limits are descriptive and may change.

Current Plans may include:

  • Free — connect supported accounts and venues, manual trading and routing, portfolio and position management, core risk controls, market data, basic API / MCP routing, and Console. Tiny included credits. No backtesting, optimization, autonomous research, or Agent Mesh.
  • Pro — research and automate, including backtesting, strategy research and comparison, optimization, automated strategies, autonomous agents, Agent Mesh, ML tools, API + MCP, an included monthly credit allocation at the published standard rate, and a published reduction on Artifice builder and routing fees.
  • Premium — the same research and automation tools as Pro, with a larger included credit allocation, a better published credit rate, higher concurrent and research capacity, and a larger published Artifice fee reduction. Premium is more personal capacity, not a commercial license.
  • Developer — commercial license for small teams, shared workspace, commercial API + MCP, an included credit allocation for development, and a published Artifice fee reduction. Additional usage is billed as credits. Developer is the starting commercial Plan.
  • Enterprise — more seats, a larger included credit allocation, a better published credit rate, RBAC, audit logs, organization-wide risk, priority compute, and a larger published Artifice fee reduction. The subscription is access; consumption may be billed as credits.
  • Artifice Private — dedicated infrastructure, isolated data and secrets, private Agent Mesh, custom security, and a negotiated credit and fee schedule. Private is scoped around a deployment, not a larger shared account.

3.1 Free access

Free is how you explore Artifice. You may connect supported accounts and venues, trade manually, and use Console with limited credits and functionality. Research, optimization, autonomous agents, Agent Mesh, and commercial use require a paid Plan. There is no separate time-limited trial. Paid Plans begin when you pay for a period in Console. Artifice Private is scoped separately.

3.2 Payment

You may pay for a Plan period in Console through Stripe. Stripe Checkout may offer card, Apple Pay, Google Pay, and crypto where available.

Billing may be monthly or annual. Annual billing, when offered, is a prepaid discount on the monthly rate (currently 20%). You pay one period at a time. You authorize the applicable charge when you confirm payment.

Unpublished holder or partner rates may apply at checkout. They do not change published Plan prices. Standing holder rates, when applied, are not limited-time promotions.

You are responsible for providing an accurate billing email and completing checkout. Failed, reversed, or incomplete payments do not activate or extend a Plan.

3.3 Changes, cancellation, and non-payment

We may change Plan names, prices, included credits, credit rates, included capacity, fee reductions, and commercial terms. Existing paid periods generally continue until they expire, except where required by law or where we must suspend for security, abuse, or compliance.

You may cancel a paid Plan so that it ends at the close of the current period. Cancellation does not create a refund. If a paid period ends without renewal, the account returns to Free, and features, limits, keys, agents, workloads, and unused included credits that require a paid Plan may stop.

Non-payment, chargebacks, failed checkout, or payment disputes may result in immediate suspension of paid features.

3.4 Credits and usage

Paid Plans may include a monthly credit allocation for research, agents, compute, data, API, MCP, and related workloads. Usage above the included allocation, and usage on Plans with no meaningful allocation, may be billed as credits or other usage fees.

Credits meter consumption of the same Artifice. They are not a separate product and do not grant additional license rights. Included amounts, rates, what consumes credits, unused-credit treatment, and billing cadence are descriptive, may change, and may differ by Plan, rollout stage, and workload.

Published examples of credit quantities or rates are illustrative until we publish live figures.


4. Token Usage

The current token is $JEST. An Artifice token may relaunch later. The Company intends a full migration for $JEST holders when that token launches. Timing, ratio, snapshot, contract, and mechanics will be published before any swap. Until those details are published, no ratio, date, or contract is guaranteed.

$JEST and any Artifice token are intended as utility tokens. Holding or locking a token is not required to use Artifice. Tokens are not equity, stock, debt, a revenue share, a claim on assets, a claim on treasury funds, a claim on buybacks, or a governance right in the Company.

Do not treat any unpublished ticker, wrapper, bridged copy, or lookalike as the Artifice token. The live contract for $JEST is the contract published on the Token page. The Artifice token contract does not exist until we publish it.

Token-related features may include:

  • A published migration from $JEST to an Artifice token
  • ART Boost or similar fee reductions, if and when a lock mechanic is offered
  • Buyback-related activity when active, which confers no claim
  • Referral, seasonal, or activity-based mechanics, if offered
  • Other tokenomics or community mechanics as published

Legacy reward, points, season, or tier programs (including any former Favour, Spoils, or similarly named mechanics) confer no ownership, vested rights, or claims, and may be modified or discontinued at any time.

The Company may modify, suspend, discontinue, or replace token-related features at any time. Token utility may vary by jurisdiction, product surface, wallet, Plan, rollout stage, technical availability, compliance requirements, and business needs.

You are solely responsible for understanding the risks of buying, selling, transferring, holding, or using $JEST or any future Artifice token. Digital assets can be volatile, illiquid, technically risky, and subject to regulatory change. A migration, if offered, may involve smart-contract, snapshot, tax, and market risk.

4.1 ART Boost and lock rules

If a lock or ART Boost mechanic is offered, published rules may include a lock requirement, minimum lock period, withdrawal cooldown, loss of the extra reduction below a threshold, and a cap on total Artifice fee reduction. Those rules are not live for an Artifice token until we publish them.

USD figures on Pricing or Token pages, if shown, are economic targets, not a permanent on-chain amount. Venue, network, and maker-taker fees are never represented as discounted by a token mechanic unless a written agreement says otherwise.

4.2 Transaction tax

$JEST may include a transfer tax or other token-level mechanics. Current documentation may describe a 2% buy/sell transfer tax, but on-chain behavior, exchange support, bridge support, liquidity routing, token mechanics, and applicable rates may change or operate differently across venues.

You are responsible for reviewing the token contract, exchange route, transaction preview, gas cost, slippage, transfer effects, and wallet confirmation before submitting any transaction. The Company is not responsible for losses, failed transactions, misrouted funds, wallet errors, tax effects, exchange behavior, bridge behavior, or smart contract behavior.


5. Fees

The Services may charge, route, collect, or help facilitate fees, including:

  • Artifice builder and routing fees on connected venues
  • Plan subscription fees
  • Credits or other usage fees for research, agents, compute, data, API, MCP, webhook, or x402 workloads
  • ART Boost-related fee adjustments
  • Trading, exchange, gas, network, or third-party fees
  • Referral, affiliate, or partner-related fees
  • Buyback, treasury, operating, or reward allocations

Artifice fee reductions advertised on a Plan apply to Artifice builder and routing fees. Exchange maker/taker fees, network fees, gas, venue fees charged by third parties, and other non-Artifice costs are unchanged unless a written agreement says otherwise.

Fees may vary by product, market, venue, Plan, volume, strategy, agent, API provider, subscription, or rollout stage. Fee examples in documentation are illustrative only. Actual fees may differ.

You authorize the applicable fee mechanics when you connect accounts, approve builder fees, approve agents, execute trades, submit API or MCP calls, consume credits, subscribe to a Plan, use automation, or otherwise use fee-bearing Services.

5.1 Fee compliance

You may not avoid, bypass, spoof, evade, underreport, interfere with, or manipulate any fee, tax, Plan, access, reward, referral, buyback, lock, or eligibility system. Prohibited conduct includes:

  • Copying, mirroring, or externally automating Artifice signals or trades to avoid fees
  • Using alternate accounts, wallets, agents, providers, or identities to bypass limits or eligibility checks
  • Skimming signals, alerts, indicators, receipts, or strategy outputs for unauthorized external use
  • Routing trades around required builder, performance, or access fees after using Artifice logic or infrastructure
  • Misrepresenting volume, referrals, holdings, wallet ownership, Plan status, or account activity
  • Manipulating ART Boost, locks, referrals, leaderboards, or rewards
  • Sharing access credentials, API keys, MCP keys, bot access, or gated content with unauthorized users

We may suspend or terminate access, revoke rewards or Boost, adjust balances or eligibility, invalidate referrals, pursue unpaid amounts, and seek legal or equitable remedies for violations.


6. Treasury Ownership and Licensing Obligations

Any treasury, fee wallet, buyback wallet, billing treasury, operating account, liquidity wallet, reward pool, or similar account controlled by Artifice is owned or controlled by the Company or its designated operators. Token holders, users, referrers, strategy providers, Plan subscribers, and community members do not own or control those funds unless a separate written agreement says otherwise.

Treasury or fee funds may be used for development, infrastructure, liquidity, operations, staffing, legal, compliance, marketing, partner obligations, licensing obligations, security, buybacks, rewards, or any other business purpose determined by the Company.

If the Company licenses Algorithms, indicators, data, charting tools, or other IP from an owner or partner, the Company may owe licensing fees or other obligations. If those obligations change, are not paid, expire, or are terminated, access to affected Services may be limited, changed, or discontinued.

Buybacks, distributions, liquidity actions, and treasury actions are discretionary unless expressly required by a separate written agreement. Holding or locking $JEST or any Artifice token does not confer a claim on treasury, buybacks, or operating funds.


7. Access to the Platform and Tools

Access to the Services may be determined by any combination of:

  • Account registration and authentication
  • Wallet verification
  • Plan and payment status
  • Volume, usage, or compute limits
  • Invitations
  • Geographic eligibility
  • Compliance checks
  • Account status
  • Technical availability
  • Product rollout stage
  • Team, admin, or partner approval

Except where a specific product is expressly described as token-gated, access to Artifice is not conditioned on holding or locking $JEST or any Artifice token. Token mechanics, if offered, affect fee economics. They do not unlock agents, research, APIs, MCP, execution, Console, or other product surfaces.

The Company may change access criteria, Plan terms, ART Boost terms, lock requirements, permissions, and feature availability at any time. Existing locks may be grandfathered until unlock or relock as published. We may reject, suspend, limit, revoke, or terminate access for any reason permitted by law, including product security, compliance, operational risk, suspected abuse, or breach of these Terms.

7.1 Covered product surfaces

These Terms apply to all Artifice product surfaces, whether live, legacy, experimental, or future, including:

  • Artifice website and Console: marketing pages, docs, login, account, venues, agents, portfolio, research, keys, billing, and settings.
  • Oroboros: perpetual-markets terminal for manual, assisted, and autonomous workflows.
  • Saylis: onchain workspace for spot, DeFi, and agent-assisted execution, including Privy vault connections where offered.
  • Chartographer: native desktop charting application, studies, markers, and supervised agent control.
  • Tesseract: prediction-market and event research, including surfaces still in research.
  • Crucible: backtests, comparison, and analysis.
  • API / MCP: HTTP APIs, MCP servers, keys, delegated access, x402, webhooks, and agent integrations.
  • Artifice Private: dedicated instances, private Agent Mesh, isolated data, and custom deployments.
  • Jester Terminal, Telegram bot, Mini App, and Lab: legacy and related trading, onboarding, receipts, alerts, portfolio, automation, scripts, and account controls.
  • Clod and other staged tools: in-development, private, preview, research, or automation tools. Clod is an open-source agent; its source license (when published) governs that code.
  • Scherwode: an independently branded onchain protocol incubated by Jester Laboratories. Scherwode has its own token, contracts, and economics. Use of Scherwode is also subject to that protocol's terms. Artifice-powered terminals may integrate with Scherwode the same way they integrate with other venues.
  • Tokenomics products: $JEST, any future Artifice token, published migrations, buybacks, referrals, and related dashboards.

Product names may change, merge, be deprecated, or be replaced. A renamed or successor product remains covered by these Terms.

7.2 Plan and access levels

Plan names, prices, limits, included credits, credit rates, fee reductions, lock requirements, eligibility rules, and access rights may change at any time. Labels such as Free, Pro, Premium, Developer, Enterprise, Private, Individual, or Business are descriptive and do not create vested rights.

The Company may:

  • Adjust Plan features, prices, limits, included credits, credit rates, fee reductions, or snapshots
  • Add, remove, or rename Plans
  • Gate features by Plan, invite, account, jurisdiction, or rollout stage
  • Exclude suspicious, manipulated, sanctioned, or ineligible activity
  • Correct errors in Plan status, ART Boost, referrals, locks, or eligibility
  • Revoke access if wallet holdings, account status, payment status, compliance status, or eligibility changes

7.3 Private, partner, and preview confidentiality

Partner, private, preview, beta, invite-only, holder-only, enterprise, and team-reviewed access areas may contain confidential Artifice information. This includes product concepts, roadmap details, unreleased features, designs, screenshots, workflows, strategy logic, trading systems, documentation drafts, business plans, launch plans, pricing, token mechanics, partner discussions, and other non-public information.

Access to these areas is granted only for the approved purpose. Unless we give written permission, you may not use private-channel information to build, improve, benchmark, advise, market, fund, operate, commercialize, or assist any competing product, trading terminal, bot, analytics platform, automation system, agent workflow, indicator, strategy service, educational product, community, or commercial service.

You may not copy, lift, adapt, summarize, publish, train on, share, leak, screenshot, mirror, scrape, reverse engineer, or create derivative products from private-channel information, product concepts, interfaces, copy, workflows, documentation, roadmap items, or Artifice confidential information.

We may deny, revoke, suspend, or terminate private, partner, beta, preview, tool, or community access immediately if we believe a user or related entity has misused confidential information, exceeded the approved purpose of access, copied Artifice materials, become involved with a competing product, or created a security, confidentiality, IP, business, or operational risk.


8. Use of Tools: Research, Agents, Execution, APIs, and Automation

Artifice Tools may provide information, signals, indicators, chart context, trade controls, strategy automation, API or MCP routing, delegated execution, or agent workflows. You remain solely responsible for every trade, approval, API key, wallet signature, agent permission, Plan, strategy, and Connected Account you use.

You agree that:

  • Signals, indicators, backtests, simulations, charts, strategy rankings, receipts, and analytics are informational tools, not financial advice.
  • The Agent Mesh, research runtime, and related agents may generate hypotheses, challenge each other, and publish evidence. That output is research, not a recommendation.
  • A pre-trade boundary may check size, leverage, limits, drawdown, policy, and confirmation. Controls can fail, be misconfigured, or be incomplete. They do not eliminate risk.
  • Automation may place, modify, or close trades according to settings, signals, subscriptions, APIs, MCP calls, or delegated permissions.
  • Agent integrations may act quickly, repeatedly, or incorrectly if misconfigured or compromised.
  • You must monitor your accounts, revoke permissions when needed, and intervene manually when appropriate.
  • You must understand all risks before enabling leverage, automation, copy trading, webhooks, API keys, MCP access, x402 settlement, or agent approvals.

Unless we provide written permission, you may not use Artifice signals, indicators, strategy outputs, or Algorithms to build external commercial products, train competing systems, operate unauthorized automation, or route trades through non-Artifice systems to avoid fees or access controls.

8.1 Risk acknowledgment

Trading digital assets, perpetuals, derivatives, leveraged products, prediction markets, onchain markets, and automated strategies involves substantial risk. You may lose some or all of your funds, and with leveraged products you may lose more than your initial margin or deposit.

Risks include:

  • Market volatility and sudden price moves
  • Liquidation
  • Slippage, spreads, stale prices, and market gaps
  • Low liquidity or unavailable markets
  • Exchange downtime or restrictions
  • Smart contract, wallet, bridge, API, MCP, cloud, network, or infrastructure failures
  • Incorrect data, delayed data, or malformed signals
  • Software bugs, bad configuration, or automation errors
  • Strategy underperformance, overfitting, regime change, and false positives
  • Agent error, model error, prompt injection, or unintended tool use
  • Cybersecurity incidents, phishing, compromised devices, leaked keys, or unauthorized access
  • Regulatory, tax, compliance, or jurisdictional changes

No Service guarantees profit, avoids loss, predicts markets, or replaces your own judgment. Backtests, simulations, and research are not guarantees.

8.2 Indicators, charts, and Lab

Chartographer, Jester Lab, TradingView scripts if offered, indicators, overlays, and alert systems are provided for informational, research, and manual analysis unless we expressly authorize automation. You may not use indicators or alerts for unauthorized automation, external signal resale, signal skimming, fee circumvention, or competing products.

Indicator and chart access may be gated, revoked, obfuscated, modified, or discontinued to protect Artifice IP, prevent abuse, preserve strategy effectiveness, or comply with third-party platform rules.

8.3 Auto-trader, agents, and delegated execution

Auto-trading, strategy subscriptions, copy-trading, webhook execution, API or MCP execution, and agent trading may execute transactions automatically or semi-automatically according to settings, approvals, signals, or third-party instructions.

You are responsible for:

  • Choosing strategies, agents, models, and settings
  • Reviewing leverage, position size, stop loss, take profit, and risk controls
  • Monitoring open positions and account health
  • Keeping wallet, exchange, Telegram, API, MCP, and device credentials secure
  • Revoking API keys, agent approvals, builder approvals, webhook keys, and vault permissions when needed
  • Ensuring the automation is legal and appropriate in your jurisdiction

The Company is not your broker, adviser, fiduciary, exchange, custodian, or portfolio manager.

8.4 Signals, backtests, simulations, and analytics

Signals, indicators, backtests, simulations, strategy ranks, optimization results, Monte Carlo or similar outputs, holdout checks, chart studies, PnL cards, analytics, exports, leaderboards, and receipts may be incomplete, delayed, inaccurate, or based on assumptions.

Past performance, simulated performance, backtested performance, optimization results, and displayed PnL do not guarantee future results. You should conduct your own research and consult qualified professionals where appropriate.

8.5 Prohibited activities

You must not:

  1. Reverse engineer, decompile, scrape, extract, or derive source code, models, Algorithms, indicators, signals, strategies, or platform logic.
  2. Use the Services for unlawful, fraudulent, manipulative, abusive, misleading, or harmful activity.
  3. Bypass access controls, fees, Plans, subscriptions, KYC or compliance controls, geographic restrictions, rate limits, or security features.
  4. Skim, resell, redistribute, mirror, or externally automate Artifice signals, indicators, alerts, strategy outputs, or trade calls without written permission.
  5. Share, sell, rent, or transfer accounts, gated access, API keys, MCP keys, Telegram access, wallet verification, or Plan benefits.
  6. Manipulate referrals, ART Boost, locks, Plans, leaderboards, snapshots, buybacks, volume, wallet ownership, or eligibility.
  7. Abuse, overload, probe, scan, attack, interfere with, or disrupt the Services or connected infrastructure.
  8. Upload malicious code, spam, phishing content, false orders, or harmful data.
  9. Use the Services to violate exchange rules, sanctions, AML rules, securities laws, commodities laws, tax laws, privacy laws, export controls, platform policies, or any other applicable law.
  10. Impersonate Artifice, Jester, the Company, team members, partners, users, agents, exchanges, or third-party services.
  11. Use private, partner, beta, preview, or invite-only access to build, improve, advise, market, fund, operate, or assist competing products or commercial services.
  12. Copy, adapt, publish, or commercialize Artifice product concepts, private-channel discussions, roadmap details, interfaces, documentation, copy, workflows, screenshots, or confidential information.
  13. Use an Individual Plan to provide Artifice-powered services to third parties, or exceed the commercial scope of your Plan.

8.6 No warranty

The Services are provided "as is" and "as available." To the maximum extent permitted by law, the Company disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, security, and uninterrupted operation.

We do not warrant that the Services will be error-free, secure, profitable, compatible with your systems, available in every jurisdiction, or suitable for your needs.

8.7 Termination of access

We may suspend, limit, or terminate access to any Service at any time, with or without notice, where permitted by law. Reasons may include:

  • Breach of these Terms
  • Suspected abuse, fraud, manipulation, security risk, or unauthorized use
  • Non-payment, fee circumvention, or chargeback
  • Compliance, sanctions, legal, regulatory, or geographic concerns
  • Third-party service restrictions
  • Product changes, shutdown, or limited rollout
  • Protection of Algorithms, strategy effectiveness, users, partners, or infrastructure

Termination does not require us to refund fees, restore access, maintain data, preserve rewards, or compensate you for losses, except where required by law.


9. Risk Disclosure and Disclaimer

9.1 Risk of trading

Trading digital assets, cryptocurrencies, perpetual futures, derivatives, leveraged products, prediction markets, onchain markets, or other markets is speculative and risky. Market conditions can change rapidly. You may suffer substantial losses or total loss of funds.

You acknowledge that:

  • Artifice does not guarantee profits, returns, uptime, execution, liquidity, price, fills, tax treatment, or regulatory treatment.
  • No strategy, Algorithm, indicator, signal, chart, agent, backtest, or simulation can eliminate market risk.
  • Leveraged trading can amplify losses and may result in liquidation.
  • You are responsible for all trading decisions and all consequences of your use of the Services.

9.2 Non-custodial relationship

Artifice is designed as a non-custodial or delegated-permission service where possible. We do not ask for your seed phrase or main wallet private key. You should never provide your seed phrase or raw private key to Artifice, Jester, any bot, any agent, or anyone claiming to represent us.

Some workflows may involve wallet signatures, generated trading keys, API keys, MCP keys, webhook keys, builder fee approvals, agent approvals, exchange permissions, or third-party vaults such as a Privy vault used with Saylis. Those permissions can carry trading authority or fee authority. You are responsible for understanding, securing, and revoking them.

A third-party vault or wallet provider is not Artifice custody. Your relationship with that provider is governed by its terms.

9.3 Third-party services

The Services may interact with or link to third-party services, including Hyperliquid, Propr, Solana, Base, Robinhood Chain, TradingView, Telegram, Uniswap, wallets, Privy, Stripe, payment processors, blockchains, exchanges, bridges, data providers, cloud providers, AI-model providers, MCP hosts, and other integrations.

Third-party services are not controlled by Artifice. We are not responsible for their availability, security, fees, rules, execution, custody, accuracy, outages, policy changes, losses, or disputes. Your use of third-party services is governed by their own terms and policies.

9.4 User responsibility and due diligence

You are responsible for:

  • Determining whether the Services are suitable for you
  • Understanding the markets and products you trade
  • Reviewing documentation and settings
  • Securing accounts, devices, keys, wallets, and API credentials
  • Monitoring positions, subscriptions, agents, and automation
  • Keeping your contact and account information accurate
  • Complying with laws and tax obligations
  • Consulting licensed financial, legal, tax, or technical professionals where appropriate

The Services and Documentation are for informational and operational purposes only. They do not constitute financial, investment, trading, legal, tax, accounting, or other professional advice.

No communication from Artifice, Jester, the Company, its team, community, bots, agents, docs, dashboards, or social channels should be treated as a recommendation to buy, sell, hold, borrow, lend, stake, lock, leverage, bridge, or otherwise transact in any asset.

9.6 Beta, alpha, preview, and experimental features

Many Artifice products are alpha, beta, staged, internal, preview, experimental, or under active development. These features may be unstable, incomplete, inaccurate, restricted, delayed, changed, reset, discontinued, or unavailable without notice.

You use beta and experimental features at your own risk.


10. Project Governance

Artifice is managed by the Company. Token ownership, ART Boost, Plan status, referrals, community status, or use of the Services does not grant governance rights, voting rights, ownership rights, fiduciary rights, or rights to direct Company operations.

We may consider user feedback, but all product, treasury, fee, token, access, compliance, strategy, roadmap, and business decisions remain with the Company.

Feedback, suggestions, ideas, bug reports, feature requests, and other submissions may be used by the Company without restriction, attribution, or compensation, unless a separate written agreement says otherwise.


11. Dispute Resolution

To the maximum extent permitted by law, disputes must be resolved individually through binding arbitration rather than in court, except that either party may seek injunctive or equitable relief for misuse of intellectual property, security abuse, unauthorized access, fee circumvention, or confidentiality violations.

You and the Company waive the right to a jury trial and agree not to participate in class actions, collective actions, private attorney general actions, or representative actions to the extent permitted by law.

If any part of this dispute section is unenforceable, the remaining parts remain in effect to the fullest extent permitted by law.


12. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its licensors, owners, affiliates, officers, directors, employees, contractors, partners, service providers, and agents from and against claims, damages, losses, liabilities, penalties, costs, and expenses, including reasonable legal fees, arising from:

  • Your use or misuse of the Services
  • Your breach of these Terms
  • Your trading activity, automation, API usage, MCP usage, agent usage, or Connected Accounts
  • Your violation of law, regulation, exchange rules, third-party terms, or rights of others
  • Your content, feedback, data, signals, strategies, referrals, or submissions
  • Your failure to secure wallets, accounts, credentials, API keys, private keys, devices, or agent permissions
  • Your fee circumvention, IP misuse, manipulation, fraud, or unauthorized redistribution

We may control the defense of any indemnified claim, and you may not settle any claim in a way that imposes obligations on the Company without our written consent.


13. Data Security and Privacy

The Privacy Policy restates these practices. If anything in that policy conflicts with these Terms, these Terms control.

Artifice and Jester share one account system. Wallet, Telegram, OAuth, and username logins may identify the same user across Console, terminals, Mini App, and the bot. If you attach a Jester wallet, Telegram, or social login to an Artifice username, those identifiers are linked to that account. If that login already belongs to another account, you may be signed into that existing identity instead. Two accounts that both already exist are not merged.

We may collect, process, and store information needed to operate, secure, improve, and enforce the Services, including:

  • Wallet addresses and signatures
  • Username, user ID, password hashes, and authentication method
  • OAuth identifiers and linked social accounts
  • Telegram IDs, handles, and bot, Mini App, or Login Widget interaction data
  • TradingView IDs and access status, if used
  • IP addresses, device data, logs, and analytics
  • Email addresses or contact details where provided
  • API keys, token identifiers, provider IDs, webhook metadata, MCP metadata, x402 settlement records, and access records
  • Connected account identifiers, readiness checks, permissions, transaction references, trade logs, receipts, portfolio data, and error details
  • Plan, billing, invoice, payment, lock, ART Boost, referral, and eligibility data
  • Support messages, feedback, bug reports, and user submissions

We use this information to provide the Services, verify access, link or resolve logins you attach, calculate eligibility, bill accounts, secure accounts, detect abuse, comply with law, debug systems, improve products, communicate with users, enforce these Terms, and protect the Company and users.

We do not sell personal data. We may share data with service providers, infrastructure vendors, analytics providers, payment processors, legal or compliance advisors, partners needed to provide the Services (including auth, Telegram, OAuth, wallet, venue, and billing providers), law enforcement, regulators, courts, or third parties where required or permitted by law. Third-party logins are also governed by those providers’ own policies.

You may request access, correction, or deletion of personal data by contacting Artifice through Console. If you cannot sign in, use the password-reset or username-recovery flow, then Console Settings. We may retain information where needed for security, legal compliance, fraud prevention, dispute resolution, financial records, backups, or legitimate business purposes.


14. Force Majeure

The Company is not liable for delay, failure, outage, loss, restriction, or degraded performance caused by events beyond our reasonable control, including:

  • Market disruptions or extreme volatility
  • Exchange, blockchain, wallet, bridge, API, MCP, cloud, network, or data-provider failures
  • Cyberattacks, exploits, phishing, malware, or security incidents
  • Regulatory changes, investigations, enforcement actions, sanctions, or legal restrictions
  • Natural disasters, war, civil unrest, terrorism, labor disputes, pandemics, or public emergencies
  • Infrastructure failures, power failures, internet outages, or third-party service disruptions
  • Liquidity failures, oracle failures, smart contract issues, or chain reorganizations

We may suspend, restrict, modify, or terminate Services during such events.


15. Limitation of Liability

To the maximum extent permitted by law, the Company and its licensors, owners, affiliates, officers, directors, employees, contractors, partners, service providers, and agents are not liable for indirect, incidental, consequential, special, exemplary, punitive, lost profit, lost revenue, lost data, trading loss, market loss, liquidation, lost opportunity, lost goodwill, or business interruption damages.

This limitation applies whether claims arise from contract, tort, negligence, strict liability, statute, or any other theory, and even if we were advised that damages were possible.

To the maximum extent permitted by law, the Company's total aggregate liability for all claims relating to the Services is limited to the greater of:

  • The amount you paid directly to the Company for the specific Service giving rise to the claim during the three months before the claim arose; or
  • USD $100.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.


16. Refund and Token Buyback Policy

Unless expressly stated otherwise, all purchases, fees, subscriptions, access payments, API or MCP fees, x402 payments, and other charges are final and non-refundable.

The Company does not guarantee that it will sell, buy, repurchase, redeem, support, list, or provide liquidity for any token. Any market buyback, liquidity action, or treasury action is discretionary and may be modified, delayed, paused, or discontinued.

If you buy or sell tokens through decentralized exchanges, wallets, bridges, or third-party platforms, your transaction is with those systems and subject to their rules and risks. We are not responsible for slippage, gas, routing, MEV, failed transactions, wallet mistakes, tax consequences, or third-party platform issues.

Plan payments made on-chain are your responsibility to execute correctly. We are not required to credit a Plan for payments sent to the wrong address, on the wrong network, or with the wrong asset.


17. Intellectual Property

Artifice intellectual property includes:

  • Algorithms, signals, strategies, indicators, scripts, and models
  • Backtesting, validation, optimization, research systems, and the Agent Mesh
  • Chartographer, desktop charting tools, drawing systems, studies, markers, Lab, and related APIs
  • Oroboros, Saylis, Tesseract, Crucible, Artifice Private, Console, Jester Terminal, Mini App, Telegram Bot, and related interfaces
  • Documentation, guides, screenshots, videos, designs, data displays, and copy
  • Logos, trademarks, names, branding, visual assets, and UI systems
  • Platform code, architecture, databases, schemas, routes, and integrations
  • Confidential information disclosed through partner, private, beta, preview, invite-only, or team-reviewed access areas, as described in Section 7.3

You may not use Artifice intellectual property except as expressly allowed by these Terms or a written license. The private-channel confidentiality and competitor-use restrictions in Section 7.3 are part of these IP protections. Unauthorized use may result in termination, removal of access, cancellation of rewards, legal claims, damages, injunctive relief, and recovery of costs.

If you believe someone is violating Artifice intellectual property rights, report it through Console.


18. Modifications to the Terms

We may update these Terms at any time. Updated Terms become effective when posted unless a later effective date is stated.

For significant changes, we may attempt to provide notice through the website, docs, Console, bots, Telegram, email, in-app messages, or other channels. You are responsible for reviewing the Terms regularly.

Your continued use of the Services after updated Terms become effective means you accept the updated Terms. If you do not agree, stop using the Services.


19. User Account Security

You are responsible for securing your accounts, devices, wallets, private keys, seed phrases, passwords, OAuth accounts, Telegram accounts, TradingView accounts, API keys, MCP keys, webhook keys, generated trading keys, browser sessions, vault permissions, and agent approvals.

You must notify us promptly if you suspect unauthorized access, leaked credentials, compromised API keys, suspicious trading, or misuse of your account.

We are not responsible for losses caused by your failure to secure credentials, devices, accounts, wallets, keys, or permissions.


20. Geographic Restrictions and Compliance

The Services may not be available, appropriate, or lawful in all jurisdictions. You are responsible for ensuring that your use of the Services complies with all laws that apply to you, including securities, commodities, derivatives, sanctions, AML, tax, consumer protection, data protection, export control, and financial promotion laws.

We may restrict, geoblock, suspend, or terminate access where we believe access may violate law, create compliance risk, or conflict with third-party requirements.


21. Referrals, Affiliates, and Promotions

Referral, affiliate, partner, influencer, reward, or promotion programs may be offered at our discretion. We may modify, suspend, cancel, verify, claw back, or deny rewards where we suspect fraud, abuse, manipulation, inaccurate disclosures, self-referrals, wash activity, ineligible jurisdictions, or breach of these Terms.

If you promote Artifice, use referral links, receive compensation, or have any material connection to Artifice, you must clearly and conspicuously disclose that relationship where required by law or platform rules.


22. User Contributions

If you submit content, strategies, webhook payloads, names, notes, chart drawings, feedback, ideas, bug reports, reviews, support messages, public strategy descriptions, or other materials, you grant the Company a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, store, reproduce, modify, display, distribute, and create derivative works from that content as needed to operate, improve, promote, secure, or enforce the Services.

You represent that you have all rights needed to submit the content and that it does not violate law, third-party rights, confidentiality obligations, or platform rules.


23. API, MCP, and Agent Integrations

API keys, MCP keys, webhook keys, provider IDs, agent identifiers, agent approvals, x402 credentials, and delegated trading permissions are sensitive credentials. You must keep them secure and use them only as authorized.

We may impose rate limits, scopes, validation rules, eligibility checks, readiness checks, monitoring, logging, key rotation, revocation, or other controls. We may revoke API, MCP, or agent access at any time for security, abuse, compliance, product, or operational reasons.

You are responsible for all activity submitted through your API keys, MCP keys, webhook keys, provider IDs, agents, models, or connected systems, even if the activity was caused by a third party, misconfiguration, compromised key, or malfunctioning agent.

x402 and other usage-based settlement, when offered, is a payment for compute or tool use. It does not grant extra license rights beyond your Plan.

Commercial API or MCP products that you offer to your own customers require a Developer, Enterprise, or Artifice Private Plan, or a separate written license.


24. Assignment

You may not assign or transfer your rights or obligations under these Terms without our written consent. The Company may assign, transfer, delegate, or subcontract its rights and obligations without restriction, including in connection with a merger, acquisition, restructuring, asset sale, licensing arrangement, or change of control.


25. Severability and No Waiver

If any part of these Terms is found invalid or unenforceable, the remaining parts remain in effect. Failure to enforce any provision does not waive our right to enforce it later.
